Please read these Terms of Service ("Terms") carefully before using CompleteLane ("the Service") operated by CompleteLane ("we", "us", or "our"). These Terms govern your access to and use of the Service and constitute a legally binding agreement between you and CompleteLane.

1. Acceptance of Terms

By accessing or using the Service, creating an account, or clicking "I Agree", you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Service Description

CompleteLane is a cloud-based document collection platform designed for professional service providers including agencies, accountants, financial advisors, and similar firms. The Service enables you to:

  • Create custom document request checklists and send them to clients via magic link portals.
  • Collect files uploaded directly by clients into encrypted cloud storage.
  • Send automated email reminders to clients with outstanding document submissions.
  • Monitor upload progress in real time from a unified dashboard.
  • Receive notifications when all documents in a request have been collected.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts and Registration

To use the Service, you must register for an account by providing a valid email address, name, and password. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at support@completelane.com if you discover any unauthorized use of your account. CompleteLane is not liable for any loss or damage arising from your failure to protect your credentials.

One account may represent one organization. You may not share your account with individuals outside your organization or resell access to the Service.

4. Client Portal Users

Your clients who access document upload portals via magic links ("Portal Users") do not create CompleteLane accounts. Portal Users interact with the Service solely through the portal assigned to them by you.

As a Subscriber, you are responsible for:

  • Ensuring you have appropriate legal basis and authorization to share your clients' contact information with CompleteLane.
  • Informing Portal Users about how their data (files and contact details) will be processed.
  • Ensuring that Portal Users comply with these Terms in their use of the upload portal.
  • The content and accuracy of the document checklists you send to your clients.

5. Subscription and Billing

Access to the Service beyond the free trial requires a paid subscription. All subscriptions are billed monthly in advance through our billing provider, Polar. Prices are displayed on our pricing page and are subject to change with 30 days' written notice.

You authorize CompleteLane (via Polar) to charge your payment method on a recurring basis. If a payment fails, we will notify you and you will have a grace period to update your payment method. Continued failure to pay may result in suspension or termination of your account.

Subscription fees are non-refundable except as required by law. If you upgrade your plan mid-cycle, you will be charged the prorated difference for the remainder of the billing period. Downgrades take effect at the start of the next billing cycle.

6. Free Trial

New Subscribers receive a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

We reserve the right to modify the duration, terms, or availability of the free trial at any time. Only one free trial is permitted per organization. Accounts created to circumvent this limitation may be suspended.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Use the Service to collect, store, or transmit illegal, fraudulent, or harmful content.
  • Upload or transmit malware, viruses, or any code designed to disrupt or damage computer systems.
  • Attempt to gain unauthorized access to any system, account, or network connected to the Service.
  • Harvest, scrape, or collect data from the Service in an automated manner without our written consent.
  • Use the Service to send spam, unsolicited communications, or to harass individuals.
  • Violate any applicable laws or regulations, including privacy laws, in your use of client data.
  • Exceed the storage or request limits of your subscription plan in a way that degrades the Service for others.
  • Resell, sublicense, or otherwise transfer access to the Service to third parties.

Violation of this section may result in immediate suspension or termination of your account without refund.

8. File Storage and Data Handling

Files uploaded through client portals are stored in Supabase Storage and encrypted at rest using AES-256 encryption. Files are uploaded directly from the client's browser to cloud storage using presigned URLs, and do not pass through CompleteLane's application servers.

Storage limits apply based on your subscription plan. We will notify you when you approach your storage limit. You are responsible for downloading and archiving files you wish to retain before canceling your account, as files will be deleted 30 days after account termination.

You retain full ownership of all files uploaded through the Service. You grant CompleteLane a limited, non-exclusive license to host, store, and process your files solely to provide the Service to you.

Individual file uploads are limited to 50 MB per file. Supported file formats include PDF, JPG, PNG, HEIC, DOCX, XLSX, and CSV. CompleteLane validates file types at upload time and may reject unsupported formats.

9. Intellectual Property

The Service, including its interface, design, logos, trademarks, and underlying software, is owned by CompleteLane and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use CompleteLane's trademarks or branding without written permission.

You retain ownership of all content you or your clients upload through the Service. You represent and warrant that you have all rights necessary to upload such content and that it does not infringe any third-party rights.

10. Third-Party Services

The Service integrates with third-party providers including Supabase, Polar, Resend, Upstash, Sentry, and Vercel. Your use of the Service is subject to the terms of service and privacy policies of these providers. CompleteLane is not responsible for the actions, content, or data practices of any third-party service.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Service is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, CompleteLane and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, profits, or business — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to CompleteLane in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless CompleteLane and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you or your clients upload through the Service.

14. Termination

You may cancel your subscription at any time through the billing portal in your dashboard. Your access to the Service will continue until the end of the current billing period. Cancellation does not entitle you to a refund of any pre-paid fees.

We may suspend or terminate your account immediately, without prior notice, if you materially breach these Terms, fail to pay amounts owed, or if required by law. We may also terminate accounts that have been inactive for 12 or more consecutive months following reasonable notice.

Upon termination, your right to use the Service ceases immediately. Your account data, including uploaded files, will be retained for 30 days to allow you to request a data export. After this period, all data will be permanently deleted. You are responsible for downloading any files you need before your account is terminated.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

16. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by emailing the address associated with your account or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
